LYONS LEGADO LLC

DBA: LYONS VISION

OFFICIAL TERMS AND CONDITIONS, CLIENT AGREEMENT & PHOTOGRAPHER RIGHTS POLICY

Effective Date: October 9, 2026
Business: Lyons Legado LLC
Trade Name: Lyons Vision
Governing State: New York, United States

These Terms and Conditions establish the rights, responsibilities, policies, and obligations governing services provided by Lyons Legado LLC, doing business as Lyons Vision ("Photographer," "Videographer," "Company," "we," "us," or "our").

By booking a session, submitting payment, signing a service agreement, or otherwise agreeing to receive services, the client ("Client," "you," or "your") acknowledges that they have reviewed and agreed to the applicable terms below.

These terms apply to photography, videography, photo editing, video editing, music video production, headshots, portraits, family and couples sessions, event photography, sports photography, military photography, graduation sessions, studio-style sessions, promotional content, and photography or videography consulting.

Where a separate written agreement contains additional terms for a particular project, the agreements should be read together. Any conflicting terms should be resolved according to the written agreement's express priority provisions.

1. SERVICES PROVIDED

Lyons Vision provides professional photography, videography, editing, and related creative services.

Services may include, but are not limited to:

  • Individual and portrait photography.
  • Family, couples, and group photography.
  • Graduation and military photography.
  • Headshots and professional profile photography.
  • Studio-style photography and white-background sessions.
  • Event and sports photography.
  • Music video production.
  • Business, product, and promotional video production.
  • Photo and video editing.
  • Photography and videography consulting.

The specific services, session duration, deliverables, location, price, and delivery schedule will be established during booking or in a separate written agreement.

The Company reserves the right to decline requests that fall outside its capabilities, conflict with safety requirements, or require services that were not included in the original booking.

2. BOOKING AND RESERVATIONS

A deposit is required to reserve a photography or videography session unless the Company expressly agrees otherwise in writing.

A booking is not confirmed until the required deposit has been received and the Company has acknowledged the reservation.

The Client is responsible for providing accurate contact information, selecting the appropriate service package, and reviewing all booking details before submitting payment.

The Company does not guarantee availability until the booking is confirmed.

A deposit reserves the agreed date and time and compensates the Company for reserving its availability and undertaking booking-related administrative work.

3. DEPOSIT AND REFUND POLICY

3.1 Deposit Refund Window

A deposit is refundable only when the Client requests cancellation within 24 hours of the deposit payment.

The 24-hour period begins when the deposit payment is successfully completed.

After the 24-hour period expires, the deposit becomes nonrefundable, subject to applicable law and any rights the Client may have under the circumstances.

3.2 Full Payment

Once the Client has paid the full service price, payments are generally nonrefundable if the Client subsequently cancels, changes their mind, or elects not to use the booked services.

This provision does not eliminate any refund or other remedy required by law, or any remedy applicable when the Company fails to perform its contractual obligations.

3.3 Company Cancellation

If Lyons Vision cancels a session and cannot provide a mutually acceptable replacement date or an agreed alternative, the Client will receive a refund for services paid for but not provided, as required by the circumstances and applicable law.

3.4 Refund Processing

Approved refunds will be processed through the original payment method when reasonably possible.

Processing times may depend on the payment provider or financial institution.

3.5 Acknowledgment

By paying a deposit or completing a booking, the Client acknowledges that they have reviewed the refund policy.

Important legal note: Refund terms cannot override mandatory consumer protections. The applicability of cancellation rights depends on the transaction and circumstances; this policy should not be interpreted as eliminating any statutory cancellation rights that apply.

4. CANCELLATION POLICY

Clients must notify Lyons Vision in writing when canceling a booking.

Cancellation notices may be sent through the Company's designated business email or another written communication method expressly approved during booking.

The deposit and refund provisions in Section 3 govern the financial consequences of cancellation.

The Client understands that cancellation may prevent the Company from accepting other bookings for the reserved date and time.

The Company may cancel a booking when necessary because of illness, emergencies, unsafe conditions, equipment failure, or other circumstances that make performance impracticable.

When the Company cancels, it will communicate available alternatives and address refunds in accordance with Section 3 and applicable law.

5. RESCHEDULING POLICY

Rescheduling requests are subject to availability.

The following business policies apply:

  • Within seven days: Rescheduling is permitted without a rescheduling fee, subject to availability.
  • More than seven days after the original booking: A $25 rescheduling fee applies.
  • More than two weeks after the original booking: A new full deposit is required to secure a replacement date.

These provisions are intended to establish the applicable rescheduling terms, not to create an automatic right to recover a deposit that has already become nonrefundable.

If the Company must reschedule a session, the Client will not be charged a rescheduling fee.

6. SESSION TIME, ARRIVAL, AND OVERTIME

Clients are expected to arrive at the agreed location at the scheduled time.

Late arrival does not automatically extend the session.

The Company may need to conclude a session at the originally scheduled end time to accommodate other commitments.

If additional shooting time is requested and approved by the Company, overtime will be charged at $1.50 per minute.

Overtime must be authorized by the Company and is subject to availability.

The Company will communicate any additional charges before proceeding whenever reasonably practicable.

7. PRICING, TRAVEL, AND ADDITIONAL CHARGES

The Client agrees to pay the price stated in the applicable booking confirmation or service agreement.

Additional charges may apply to services or expenses not included in the original package.

Examples include:

  • Approved overtime.
  • Travel beyond the mileage included in the selected service.
  • Additional locations.
  • Additional editing or deliverables.
  • Rush delivery.
  • Additional shooting time or production requirements.

For applicable outdoor photography bookings, travel beyond the first 15 miles may incur an additional charge of $1.50 per mile.

For music video bookings, travel beyond 35 miles may incur an additional charge of $1.50 per mile.

The applicable mileage threshold and calculation should be confirmed in writing before booking.

A rush turnaround of three days may be available for an additional $100, subject to the Company's approval. The standard turnaround for the applicable music video package is seven days unless otherwise agreed in writing.

The Company will disclose applicable additional charges before the Client becomes obligated to pay them.

8. PHOTOGRAPHER'S COPYRIGHT AND OWNERSHIP RIGHTS

8.1 Copyright Ownership

Unless otherwise agreed in a valid written agreement, photographs, videos, and other original creative works produced by Lyons Vision are protected by applicable United States copyright law.

The photographer or other legally entitled creator generally retains copyright ownership in original photographs and videos.

Paying for a photography session, receiving digital files, or purchasing prints does not automatically transfer copyright ownership to the Client.

Copyright ownership and the rules governing transfers are addressed under the federal Copyright Act, including 17 U.S.C. §§ 102 and 201–204.

Official federal law: urlUnited States Copyright Act, Title 17https://www.copyright.gov/title17/

8.2 Client's Personal Usage Rights

Unless otherwise specified in writing, the Client receives a limited, nonexclusive license to use delivered images and videos for ordinary personal purposes.

Permitted personal uses may include:

  • Personal social media accounts.
  • Personal profile pictures.
  • Family albums.
  • Personal printing and display.
  • Sharing with friends and family.

The Client may not sell, sublicense, commercially distribute, or otherwise exploit the Company's work beyond the scope of the agreed license without written permission.

8.3 Commercial Usage

Commercial use may require a separate written license.

Examples include using photographs or videos in advertisements, product packaging, commercial promotions, paid campaigns, or third-party marketing materials.

The scope, duration, territory, platforms, and fees for commercial licensing should be agreed upon in writing.

8.4 Prohibited Copyright Conduct

Without authorization, the Client may not:

  • Claim authorship of the Company's original work.
  • Sell or license the Company's work to third parties.
  • Remove copyright notices for the purpose of misrepresenting ownership.
  • Use the work outside the agreed license.
  • Sell or distribute original files as stock photography.
  • Authorize third parties to exploit the work commercially.

These restrictions do not prohibit uses permitted by law or uses expressly authorized by the Company.

8.5 Copyright Infringement

Unauthorized use of copyrighted material may give rise to legal remedies under federal law.

The availability of damages, injunctions, and other remedies depends on the facts and applicable law. No particular outcome is guaranteed.

9. CLIENT RIGHTS AND RESPONSIBILITIES

The Client has the right to receive the services and deliverables described in the applicable agreement, subject to the agreed terms.

The Client is responsible for:

  • Providing accurate booking information.
  • Arriving on time.
  • Communicating relevant preferences and requirements.
  • Obtaining permissions for locations or property where necessary.
  • Obtaining permissions for people or materials the Client asks the Company to photograph or film, when those permissions are the Client's responsibility.
  • Following reasonable safety instructions.
  • Paying agreed charges when due.
  • Using delivered material within the applicable license.

The Client may ask questions about the booking, request clarification of deliverables, and raise concerns about services received.

The Company will make reasonable efforts to communicate clearly and address legitimate concerns.

10. PHOTOGRAPHER'S CREATIVE DISCRETION

Photography and videography involve artistic judgment.

The Company retains reasonable creative discretion over composition, lighting, framing, camera settings, shooting techniques, editing style, color grading, and final image selection.

The Client may communicate preferences before or during a session.

However, the Company does not guarantee that every requested pose, angle, effect, background, or artistic result will be achievable.

The final work may vary from examples shown in advertisements or portfolios because of differences in lighting, weather, location, equipment, subject participation, and other circumstances.

The Company will perform the agreed services professionally and in accordance with the applicable agreement.

11. EDITING, RAW FILES, AND DELIVERY

Unless otherwise agreed in writing, the Company will deliver the final edited images or videos included in the selected package.

RAW photographs, unedited footage, project files, and working files are not included unless expressly stated in the booking agreement.

The Company retains discretion over its editing workflow, subject to the agreed deliverables.

Delivery timelines will be communicated during booking.

Where a seven-day standard turnaround or a three-day rush turnaround is expressly included in the booking, the Company will use that agreed schedule, subject to any disclosed exceptions.

If an unexpected delay occurs, the Company will communicate the delay and a reasonable revised delivery estimate.

Clients are responsible for downloading and securely storing delivered files.

Unless a separate retention period is agreed in writing, the Company does not guarantee permanent storage of delivered images or footage.

12. PORTFOLIO AND MARKETING USE

The Company may wish to display selected photographs or videos in its professional portfolio, website, social media, advertisements, and promotional materials.

However, copyright ownership does not automatically grant unlimited permission to use a recognizable person's likeness for every commercial purpose.

Accordingly, portfolio or promotional use of identifiable clients should be governed by an appropriate written model release or other valid authorization when required.

The Client may decline promotional use without automatically losing the services purchased.

Separate consent may be appropriate for minors, sensitive settings, or projects involving additional privacy concerns.

The Company will respect any applicable restrictions agreed upon in writing and any rights provided by law.

13. PRIVACY AND CONFIDENTIALITY

The Company will take reasonable steps to protect client information obtained through booking and service delivery.

Client contact information, payment information, private communications, and confidential project details will be handled in accordance with applicable law and any applicable privacy commitments.

The Company will not intentionally disclose confidential client information except as authorized, reasonably necessary to provide the services, or permitted or required by law.

Clients should avoid sending unnecessary sensitive personal information through unsecured communication channels.

14. THIRD-PARTY MATERIALS AND LOCATION PERMISSIONS

The Client is responsible for obtaining permissions for third-party materials or property that the Client specifically requires the Company to use, unless the parties agree otherwise.

This may include:

  • Private property access.
  • Venue permissions.
  • Logos and trademarks.
  • Music selected by the Client.
  • Artwork and other copyrighted material.
  • Releases for additional participants when the Client is responsible for obtaining them.

The Company may refuse to use material when there is a reasonable concern that its use would violate another person's rights or applicable law.

For music videos, the Client is responsible for obtaining necessary rights to the music and other materials the Client supplies, unless the written agreement assigns that responsibility to the Company.

15. SAFETY AND PROFESSIONAL CONDUCT

The Company may pause or terminate a session if conditions become unsafe, unlawful, abusive, or materially inconsistent with the agreed services.

Clients and participants must behave respectfully toward the Company and any authorized assistants or collaborators.

The Company may refuse requests that create an unreasonable safety risk or require unlawful conduct.

Any resulting cancellation, payment, or refund consequences will be determined under the applicable agreement and law.

16. EQUIPMENT FAILURE, WEATHER, AND UNFORESEEN EVENTS

The Company will take reasonable precautions to protect equipment and produce the agreed work.

Photography and videography can nevertheless be affected by weather, power failures, equipment malfunction, venue restrictions, illness, accidents, and other unexpected events.

When such an event materially affects performance, the Company will communicate with the Client and attempt to identify a reasonable solution, which may include rescheduling, substituting an agreed service, or providing an appropriate refund where required.

Neither party is automatically entitled to unlimited compensation for circumstances outside that party's reasonable control. Any limitation of liability remains subject to applicable law.

17. LIMITATION OF LIABILITY

To the extent permitted by law, the Company will not be responsible for indirect or consequential losses that were not reasonably foreseeable or otherwise recoverable under applicable law.

Nothing in these terms excludes liability that cannot legally be excluded, including liability arising from conduct for which applicable law prohibits limitation.

The Company will use reasonable care when handling equipment, capturing images, and delivering files.

Any limitation relating to lost, corrupted, or inaccessible files will be interpreted consistently with the parties' agreement and applicable law.

18. DISPUTE RESOLUTION

If a dispute arises, the parties agree to make a reasonable good-faith effort to resolve the matter informally before pursuing litigation, where appropriate.

If informal resolution is unsuccessful, either party may pursue any remedy available under applicable law.

Nothing in this section prevents either party from seeking urgent legal relief when appropriate or exercising a nonwaivable statutory right.

19. GOVERNING LAW AND JURISDICTION

These terms are intended to be governed by the laws of the State of New York, without applying conflict-of-law principles where doing so would be inconsistent with applicable law.

Any legal proceeding must be brought in a court with proper jurisdiction and venue.

This provision does not override mandatory consumer protections or prevent a court from applying another law when legally required.

Federal law, including applicable copyright law, governs matters within federal jurisdiction.

20. ELECTRONIC AGREEMENTS AND SIGNATURES

Where permitted by law, the parties may enter into agreements electronically.

Electronic signatures and records may have legal effect under applicable law, including New York's Electronic Signatures and Records Act.

Official statute: urlNew York State Electronic Signatures and Records Acthttps://www.nysenate.gov/legislation/laws/STT/A3

The parties should retain copies of signed agreements, booking confirmations, payment records, and written amendments.

21. AMENDMENTS AND SEVERABILITY

Any material amendment to an existing booking agreement must be communicated to the Client and accepted where required.

If any provision of these terms is found unenforceable, the remaining provisions will continue to apply to the extent legally permissible.

No provision should be interpreted to waive a right that cannot legally be waived.

22. ENTIRE AGREEMENT

These terms, together with the applicable booking confirmation, service description, written addenda, and any signed releases, constitute the agreement governing the services to which they apply.

Any additional terms should be documented in writing.

The Client is encouraged to retain a copy of the agreement for their records.

CLIENT ACKNOWLEDGMENT AND ACCEPTANCE

By signing below, the Client acknowledges that they have had an opportunity to review these Terms and Conditions, ask questions, and obtain clarification before agreeing to the applicable services.

The Client understands that the booking, payment, copyright, licensing, cancellation, refund, and delivery provisions form part of the agreement.
